Sale Agreement

The terms and conditions set forth below shall apply to the sale of any goods, merchandise, materials or services. Accurate Locators Corporation does not accept liability for Products manufactured by companies other than themselves. All sales made by Accurate Locators to the Purchaser are made only on these terms and conditions, including those on the face of this form. All orders are received subject to approval by Accurate Locators. No alteration of terms herein shall be binding unless in writing, signed by an authorized representative of Accurate Locators. If any other terms have been submitted by the Purchaser without approval they are rejected. In the event of a conflict between any other agreement, rule, policy, or term of service and this Agreement, the provisions of this Agreement shall govern. WE RESERVE THE RIGHT TO REFUSE SALE AT ANY TIME FOR ANY REASON WITHIN THE CONFINES OF CONSUMER LAW OF THE STATE OF OREGON.

Terms of Payment

For USA and Canada orders, all prices are net, and the full price is to be paid prior to shipment. We accept major credit cards (with address verification) and all orders must be shipped to authorized addresses listed with the issuing credit card bank. We also accept Bank Wire Transfers, Money Orders, or Certified Checks. Purchases over $11,000.00 are processed only by Bank Wire or Certified Checks.

ALL International orders are accepted by Bank Wire Transfers (please call for details), Western Union Quick Checks or Certified Bank Checks only. We do not accept credit card transactions for International orders.

Errors & Omissions

All equipment and pricing is subject to change without notice. Equipment illustrations and images may not be accurate due to equipment upgrades or modifications.

Accurate Locators is not responsible for errors, omissions, typos, etc. In the event that a product is listed at an incorrect price or with incorrect information due to typographical error, an error in pricing, product information or equipment upgrades, or otherwise, Accurate Locators shall have the right to refuse or cancel any such orders for product(s) listed at the incorrect price.

Cancellations

Any special item order placed with Accurate Locators cannot be canceled, unless agreed to in writing by Accurate Locators. Cancellation charges which shall take into account expenses already incurred and commitment made by Accurate Locators will be paid by Purchaser, if Accurate Locators agrees to cancel an order.

Cancellation must be made prior to shipment and are made at the sole discretion of Accurate Locators.

Layaways

Layaway plans are available (call for more information 541-855-1590).

Taxes

Accurate Locators' prices do not include sales, use, excise, duties or any other levies which maybe imposed or assessed upon the equipment or the sale of the equipment at any time. If the Purchaser is not exempt from these or any specific taxes which should otherwise be applicable, it shall be the duty and responsibility of the Purchaser to cover these costs above and beyond the sales contract with Accurate Locators.

Shipping Methods and Schedules

Due to Accurate Locators specialty status and goal to offer the best prices, not all items may be in stock at all times. Orders that are in stock will be shipped within two (2) business days (after full payment has been received), either by UPS, FedEx, or US Mail. This excludes weekends and holidays.

Purchasers will be notified of any delay or back orders and will be contacted prior to shipping if the delay will be longer than 10 days. Purchaser has the right to inspect all goods upon arrival at Purchaser's principal place of business before delivery is considered complete. In the event the goods do not conform to specifications, Accurate Locators sole obligation shall be to repair or replace the goods at Accurate Locators' sole option.

Purchaser shall have the obligation to inspect any product arriving damaged in front of the freight/shipping company's delivery person, and to report immediately any damage or missing products to the Freight Company and to Accurate Locators. After shipping, warranties of other manufacturers will apply and products are sold "AS IS" by Accurate Locators to the party named on the face of this form in the "sold to" box (the "Purchaser"). Purchasers are responsible for all shipping charges unless otherwise agreed to in writing by Accurate Locators. Purchaser shall identify shipping method desired at the time that orders are placed.

Warranties

All Merchandise carries a minimum Manufacturer's limited one (1) year warranty. Accurate Locators offers a limited one (1) year warranty on all Products manufactured by Accurate Locators and some select products have a 3 year warranty.

All other products manufactured other than by Accurate Locators will fall under those product's manufacturers' warranties only. All non Accurate Locators branded/third party products are sold "AS IS" by Accurate Locators, but may be accompanied by their manufacturers' standard warranties. "AS IS" products are sold by Accurate Locators AS IS, which means without any express or implied warranties from Accurate Locators. Manufacturer's warranties will typically cover defects in equipment as stated in "Manufacturers Warranty Card" that is supplied with most equipment purchases.

Warranty does not include minor cosmetic damages that do not affect the functionality of the equipment. Please refer to Warranty card for exact details.

If Purchaser does not have a receipt, or seals are tampered with, and warranty stickers are not in place, then the warranty is void. ACCURATE LOCATORS MAKES NO WARRANTY, EXPRESS OR IMPLIED INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, INCLUDING USER INCAPABILITY WITH RESPECT TO THE GOODS SOLD HEREIN.

If you, the Purchaser, have questions about any manufacturer's warranties that accompany such product, please call and Accurate Locators manufacturers' addresses and phone numbers will be furnished.

Training

Accurate Locators offers one (1) hour of free phone technical support or two (2) hours of free training lessons at our test facility with equipment purchased consisting of the following: Ground Penetrating Radar, Geophysical Electro Magnetic Surveyor, Pulse Discriminator and the Accumeter Super Pro VI, Accurate Mult-Locator.

Policy on Returns

All returns require an RMA (return Merchandise Authorization), requiring purchase date and sales/invoice number. Equipment returned without an RMA will not be accepted. An RMA Number can be obtained by calling (541) 855-1590. No refunds will be provided on custom orders. Defective or non-compatible products will carry only the warranty from the manufacturer, and will be subject to return/repair status.

All repair costs and estimates will be provided prior to work being started. No work will be started unless prior approval is received for repairs. In the event that the item brought in for diagnosis is defective and cannot be repaired, and there is no available stock for replacement, and the Purchaser and Accurate Locators agree in advance, the Purchaser may upgrade the item by paying the amount necessary in order to upgrade to a higher model or type in exchange for the defective item. Authorized returns/refunds/exchanges must be made within 3 days from date of delivery.

Returned products must be received in original condition, with all contents present. Items returned without manuals, cables and other such contents are subject to additional replacement charges of such items. All returns are subject to a restocking fee of 25%, otherwise 80% of returned merchandise value may be applied toward a new purchase of equal or greater value. Credit card refunds will be credited to purchaser's card within 10 days after merchandise has been received and inspected. Items that have been damaged in any way will not be accepted. NO returns will be accepted after 15 days from sales date. Anything returned after 15 days is subject to Manufacturer's Warranty only. Manufacturer's Warranty typically covers defects in equipment as stated in "Manufacturer's Warranty Card" that is supplied with equipment purchase.

Equipment needs to be shipped to appropriate manufacturer. Accurate Locators will provide shipping and insurance for an additional charge. The Purchaser is responsible for all shipping and insurance costs on returned items. Returned products arriving damaged will be reported to the shipping company as required, however, processing the claim is always the responsibility of the Purchaser, and freight insurance is highly recommended, and provided by the shipping company at nominal charge to the Purchaser.

NO refunds will be given on shipping or insurance charges.

Force Majeure

ACCURATE LOCATORS IS NOT RESPONSIBLE FOR EXPRESSED OR IMPLIED CLAIMS OF COMPATIBILITY BY MANUFACTURER.

Third Party Assignment

No person not a party to this Agreement is intended to be a beneficiary of this Agreement. Purchaser may not assign or delegate any of its rights or obligations under the agreement without the written consent of Accurate Locators. Accurate Locators may not assign, delegate or subcontract any of its rights or obligations under this agreement without the written consent of the Purchaser.

The provisions of this agreement shall be binding upon and inure to the benefit of the parties hereto, their successors and their permitted assigns.

Laws

These terms and conditions and all quotations made and all orders accepted by the seller are governed by and construed under the laws of the State of Oregon without giving effect to principles of choice or conflicts of law. The Purchaser agrees that all claims arising from this Agreement shall be determined by the courts of Oregon, and for purposes of suit against the Purchaser, the Purchaser submits itself to the exclusive jurisdiction of the State of Oregon.

NOTWITHSTANDING ANY PROVISION CONTAINED HEREIN TO THE CONTRARY, THE SOLE LIABILITY OF ACCURATE LOCATORS ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR ANY SALE, USE OF OR INABILITY TO USE THE PRODUCTS, WHETHER SUCH LIABILITY ARISES FROM ANY CLAIM BASED UPON CONTRACT, WARRANTY, TORT, OR OTHERWISE, SHALL BE LIMITED TO THE AMOUNT PAID BY PURCHASER TO ACCURATE LOCATORS FOR THE PRODUCTS.

Purchaser hereby releases and holds Accurate Locators and its officers, directors, employees, and agents harmless from and against any and all claims for damages of any nature, arising in any way from Purchaser's use of the Products and any violation by Purchaser of this agreement. This obligation shall survive termination of this agreement.

Accuracy of Information

  •     Any information provided to Accurate Locators from Purchaser in connection with this Agreement:
  •     Shall not be false, inaccurate or misleading;
  •     Shall not infringe on any third party's copyright, patent, trademark, trade secret or other propriety rights or rights of publicity or privacy;
  •     Shall not be defamatory, libelous, unlawfully threatening or harassing;
  •     Shall not create liability for Accurate Locators.

Miscellaneous: Severablility; No Waiver; Entire Agreement

In the event that one or more portions of this Agreement shall, for any reason, be held to be invalid, illegal or unenforceable in any respect, such validity, illegality or unenforceability shall not effect any other provision contained in this Agreement. Any delay or failure by Accurate Locators, at any time or times, to require performance of any provision thereof shall in no manner effect Accurate Locators right at a later time to enforce such provision. No delay or failure by Accurate Locators in exercising any right hereunder shall constitute a waiver of such right or any other rights hereunder. This Agreement and any documents expressly incorporated by reference constitute the entire agreement between Accurate Locators and purchaser pertaining the subject matter hereof.

Indemnification

Purchaser agrees to indemnify, defend and hold Accurate Locators and its officers, directors, employees, attorneys and agents harmless from and against any and all claims, demands, actions, costs, liabilities, losses and damages of any kind (including actual attorneys' fees) resulting from Purchasers use of products or services provided by Accurate Locators or Purchaser's breach of any provision of this Agreement. Purchaser will cooperate fully as reasonably required in Accurate Locators' defense of any claim. Accurate Locators reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by Purchaser and Purchaser shall not in any event settle any matter without the written consent of Accurate Locators.
